Terms of Service
Draft, not yet in force
These terms govern access to and use of Trazer, operated by [LEGAL ENTITY NAME], trade licence [TRADE LICENCE NO.], registered at [REGISTERED ADDRESS, EMIRATE, UAE]. By accepting an invitation to a workspace, or by using the service, the customer agrees to these terms.
1. The service
Trazer is a hosted, multi-tenant business platform covering the flow from lead to paid invoice. Each customer is provisioned a separate workspace with its own branding, web address and data.
Access is granted by invitation only. There is no self-service registration, and creating a workspace requires provisioning by us.
2. Accounts and access
Authentication uses one-time codes sent to a nominated email address. The customer is responsible for keeping access to those email accounts secure, and for the actions of anyone they invite into their workspace.
The customer must tell us promptly if they believe an account has been compromised, or if a person who has left their organisation still holds access.
3. Plans, seats and payment
Plans are sold by seat count. A seat is consumed by every active member and every pending invitation. Seat limits are enforced by the platform and cannot be exceeded.
Fees, billing frequency and payment terms are as set out in the customer's order or invoice. Payment is arranged directly with us; the platform does not process payments and holds no card details.
Prices may change on [NOTICE PERIOD] written notice, taking effect at the start of the next billing period.
4. Customer data and ownership
The customer owns all data they enter into their workspace, including deals, documents, contacts and correspondence. We claim no ownership over it.
We process that data only to provide and support the service, as described in the Privacy Policy and the Data Processing Addendum.
5. Acceptable use
Use of the service is subject to the Acceptable Use Policy, which forms part of these terms. Breach of that policy may result in suspension.
6. Availability and support
We aim to keep the service available and to resolve issues promptly, but we do not currently offer a contractual uptime guarantee. Any service level commitment must be agreed separately in writing.
Planned maintenance will be notified in advance where reasonably practicable.
7. Suspension and termination
We may suspend a workspace for non-payment, for breach of the Acceptable Use Policy, or where continued operation poses a security or legal risk. Where circumstances allow, we will give notice and an opportunity to remedy first.
Either party may terminate on [NOTICE PERIOD] written notice. On termination the customer may request an export of their data within [RETENTION WINDOW], after which it may be deleted.
8. Artificial intelligence features
Some features use a third-party large language model to draft text, extract information from notes, and answer questions about the customer's own data. These features are assistive: output is presented for human review and is not sent or acted upon automatically.
The customer remains responsible for reviewing any AI-assisted output before relying on it or sending it to a third party. We do not warrant that AI-generated content is accurate or fit for a particular purpose.
9. Third-party services
The service integrates with third-party providers, including accounting and email delivery platforms. Use of those integrations is subject to the relevant provider's own terms, and we are not responsible for their acts or omissions.
10. Liability
[TO BE DRAFTED BY COUNSEL. This clause determines the company's financial exposure and must not be adapted from a template. It should address aggregate liability caps, excluded losses, and any carve-outs required under UAE law.]
11. Governing law
These terms are governed by the laws of the United Arab Emirates, and the courts of [EMIRATE] have exclusive jurisdiction. [Confirm with counsel whether mainland or a free-zone forum such as DIFC or ADGM is appropriate for the entity.]
12. Changes
We may update these terms. Material changes will be notified to workspace administrators in advance, and the date of the current version is shown at the top of this page.
Questions about this document can be sent to us through the contact form, and we will route them to the right place.
